BYLAWS
ARTICLE 1: MEMBERSHIP
a) The membership quota of this Club shall be set annually be the Board of Directors at the February meeting.
b) Candidates for membership must be proposed in writing and must be personally known to the proposer. Said proposal shall be approved or disapproved by the Membership Committee. The proposal when approved will allow for an application to be submitted. Each application shall be accompanied by the membership fee and prorated dues as set by the Board of Directors, which application and fees shall be delivered to the chairman of the Membership committee, who shall present it to the committee for action.
c) Associate Members shall be admitted on application only accompanied by a membership fee as set by the Board of Directors and shall be approved by the Membership Committee.
d) Non-Resident Members shall be admitted under he same procedure as regular members, with reduced fees and dues as set by the Board of Directors.
e) Honorary Members may be admitted in accordance with provisions of Article 9(d) of the Constitution of this Club.
f) Rejected candidates shall not again be balloted for, within twelve months from their rejection date.
ARTICLE 2: DUES
a) Annual dues for Active Members shall be set by the Board of Directors, and unless paid on or before the first meeting in march, a penalty of $2.00 may be assesed.
b) Associate Members shall pay annual dues as set by the board of directors, payable on or before the first meeting in march of each year.
c) Non-Resident Members shall pay annual dues as set by the Board of Directors, payable on or before the first meeting in march of each year.
d) Active, Associate, and Non-Resident Members may be suspended for nonpayment of dues, by the board of directors, upon thirty days notice by mail, and where such delinquency is over three months duration. Such suspended members shall not again be reinstated until all arrearage has been paid in full or rescinded by the Board of Directors.
ARTICLE 3: NOTICES
Notices of all meetings shall be sent to all members in good standing at least seven (7) days previous thereto.
ARTICLE 4: YACHT REGISTRATION
Each yacht belonging to a member of the Club shall be registered in the club records by the Secretary. A yacht must be registered on the club records to be entitled to representation.
ARTICLE 5: ARREARS
Active Members in arrears in their dues shall not be entitled to vote at any club election, or to enter in competition in any club race or contest.
ARTICLE 6: REINSTATEMENT
Any member who has been suspended Under article 2(d) of these by-Laws shall have the privilege of presenting an explanation to the directors and, upon making satisfactory explanation of his delinquency, may, in the discretion of the directors and upon full payment of the current dues, be reinstated.
ARTICLE 7: RESIGNATION
Any member in good standing and not indebted to the Club shall be at liberty to resign. All resignations must be in writing and signed by the member transmitting the same.
ARTICLE 8: MEASUREMENT
The owner of a yacht requiring measurement will notify the chairman of th sailboat division in writing, specifying the time and place where the yacht will be, such time to be not less than twenty-four (24) hours after delivery of the notice, and such place must be in some convenient place. The Chairman of the sailboat Division will in turn contact the S.C.Y.A. official measurer for arrangements.
ARTICLE 9: AMENDMENTS
These By-Laws may be amended by a two-thirds vote of the members present at any regular or specially called meeting, provided the proposed amendment be stated in full in the notice of the meeting at which it will be voted on.
The Constitution
ARTICLE 1: NAME
This organization shall be known as the
HOLLYWOOD YACHT CLUB
ARTICLE 2: OBJECT
The object of this club shall be to encourage the sport of yachting and all branches of water sports; to stimulate the building, sailing and racing of yachts; to promote the science of seamanship and navigation; to award suitable trophies for contests; to encourage social activities among its members; and to promote the interest of yachting and water sports in general.
ARTICLE 3: OFFICERS
The elective officers of the club shall be:
a Commodore, a Vice Commodore, a Rear Commodore, a Secretary , and a Treasurer. The Commodore, the Vice-Commodore, and the Rear Commodore shall be known as Flag Officers.
The Fleet Captain and Port Captain shall be appointed as hereinafter provided.
All officers shall serve without compensation, except at the discretion of the board of Directors.
The Secretary and Treasurer may be one and the same person. All retired Commodores of the club shall be known as staff Commodores so long as they retain membership in the club.
ARTICLE 4: DIRECTORS
The club shall be managed by a Board of directors consisting of nine (9) members, to-wit: Commodore, Vice-Commodore, Rear commodore, Secretary, Treasurer, the Junior staff commodore, and three (3) members who shall be elected by the Club. If the offices of the Secretary and Treasurer, in any year, are held by one and the same person, then a fourth member shall be elected a Director by the Club for that year.
ARTICLE 5: DUTIES OF OFFICERS
a) The Commodore:
The Commodore shall take command of the Club; preside at all meetings of the Club and of the board of Directors; and enforce the rules and regulations of the Club. He shall enforce all provisions respecting the conduct of the various officers of the Club, the conduct of the Club members, and the general provisions for the welfare of the Club. He shall call special meetings of the Club, or of the Board of directors, whenevever he shall deem it necessary, or upon the written request of five (5) members in good standing. He shall execute all written contracts of the Club and perform such other duties as the club or Board of Directors may prescribe. He shall be an ex-officio member of all committees. He shall appoint a measurer who shall measure all yachts and boats, give them rating, and report the same to the Secretary. He shall appoint a Fleet captain who shall be the Executive Officer of the Commodore, who may define his duties. He shall also apoint a Port Captain whose duties shall be as hereinafter set forth.
b) Vice-Commodore:
The Vice-Commodore shall assist the Commodore in the discharge of his duties and officiate in his absence. He shall also be Chairman of the Program Committee.
c) Rear Commodore:
The Rear commodore shall assist the Commodore and Vice-Commodore in the discharge of their duties;, and officiate in their absence. He shall also be Chairman of the raffle committee.
d) Secretary:
The Secretary shall keep the minutes of the meetings of the Club and of the board of Directors and have the custody of all reports, records, documents and communications connected with the business of the club, keep correct roll of members, keep correct list of the yachts enrolled in the club, conduct the correspondence of the Club, issue notices of meetings. He shall, with the Acting Commodore, sign and execute all written contracts and obligations of the Club, and shall perform such other duties, consistent with the nature of his office, as shall be from time to time requested by the Commodore or the Board of Directors. He shall present a written report of the club’s activities at each Annual Meeting.
e) Treasurer:
The Treasurer shall collect and hold in the name of the Club all moneys received by and belonging to the Club, pay all bills contracted by the club which shall be certified correct by one of the Flag Officers or Board of Directors of the club, keep a true and complete record of all money and property of the club received by him, and all disposition made by him of said moneys and property, and make a report at the Annual Meeting of the Club, and at such other times as the board of Directors may direct, of all his receipts and disbursements. He shall perform such other appropriate duties as the Board of Directors may direct.
f) Fleet Captain:
The Fleet Captain shall be the Executive Officer of the commodore as hereinafter provided.
g) Port Captain
The Port Captain shall have general supervision oveer floats, anchorages, buoys, etc. maintained by the Club and make inspection thereof as often as he deems necessary.
ARTICLE 6: DUTIES OF DIRECTORS
The board of Directors shall consist of the commodore, Vice-Commodore, Rear Commodore, Secretary, Treasurer, Junior Staff Commodore, and three (3) additional member of the Club.
All rights and powers connected with the management of the affairs and finances of the Club shall be reposed in the board of Directors. They shall make all appropriations and shall take such action as may be necessary to collect delinquent dues and other debs owing to the club. No appropriation or expenditure of money shall be made or indebtedness incurred at any time in excess of the sum of $1,000, except with the sanction of the general membership of the Club as expressed by a majority vote at a regular or specially called meeting of the Club.
The Board shall also appoint such committees from time to time as may appear best for the interest of the Club.
ARTICLE 7:
ELECTION OF OFFICERS AND DIRECTORS
a) The nominating Committee shall be composed of the most recent past three (3) Staff commodores of the Hollywood Yacht Club, and chaired by the Junior Staff Commodore.
The Nominating Committee shall propose a slate of Flag Officers, Secretary, Treasurer, and three (3) Directors at the October meeting, approximately thirty days before election.
Any of the voting members in good standing may propose by petition submitted to the secretary fifteen days before the November election meeting, a nomination for one or more Officers and/or Directors, or may make nominations from the floor at the October meeting.
Election shall be by majority of the secret ballots cast by eligible members present; or acceptance by members present, of the slate presented by the Nominating
committee.
b) The Officers of the Club shall be elected at the first regular November meeting of the Club and shall be installed at the first regular meeting in January. they shall hold office for one year or until their successors are elected or appointed.
Any Officer of the Club may resign in writing; and upon acceptance of such resignation by the Board of Directors, such Board may, but need not, appoint an active member for the unexpired term of such resigned officeer.
ARTICLE 8: COMMITTEES
The standing Committees of the club shall be known as Membership; Race; Raffle; Properties, Quarters and Refreshment; Public Relations and Publicity;Fellowship; Fishing; Finance; Photographic; and Trophy Committees.
At the first meeting of the Board of Directors after the Annual Meeting of the Club, the Commodore, with the approval of the board, shall appoint the committees of the Club to serve during the pleasure of the board. the Committees provided for herein shall be under the supervision and control of the board of Directors, and shall be accountable to, and shall act in cooperation with the Commodore and Board.
a) Membership Committee
There shall be a Membership Committee of three (3) Junior Staff commodores of the club whose duty it shall be to investigate applicants for membership. Applicants shall be persons of good moral character and must be approved by the Membership Committee. The Chairman shall make a report on each applicant accepted for membership in the club at the succeeding monthly meeting. (Note: See Article 1 of the By-Laws for procedure)
b) Race Committee
1) There shall be a Race committee consisting of a Chairman and number of members to be fixed by the Board of Directors. There shall also be a Sailboat Division and a Cruiser division, who shall be subordinate to the Race committee and under its supervision. One of the members of the Race committee shall be designated as its Chairman. There shall be a Chairman of the sailboat Division and a Chairman of the Cruiser Division. The Race Committee shall have the direction and control of all races sailed or run under the auspices of this Club, and shall make an official report of the same to the Secretary in writing immediately thereafter. They shall notify the owners of the winning yachts.
2) The Sailboat Division shall receive entries to all sailboat races, and act as judges thereof. they shall provice the stake-boats, issue instructions for the races, appoint members to assist the Division, and direct all matters connected with sailboat racing. They shall keep a record of all proceedings of the Division, and of all races held by them, with full details thereof, and shall make an official report of the same to the Race Committee in writing immediately after each race.
3) The Cruiser Division shall receive entries for all power cruiser races, and act as judges thereof. They shall provide the stake-boats, issue instructions for the races, appoint members to assist the Division, and direct all matters connected with power cruiser racing. They shall keep a record of all proceedings of the Division, and of all races held by them, with full details thereof, and shall make an official report of the same to the race committee in writing immediately after each race.
c) Program Committee
The Program Committee shall consist of five (5) members, one of whom shall be the Vice-Commodore. The Committee shall provide and take charge of all entertainments given by the Club, and shall provide suitable programs therefore. The Chairman of the committee shall be the Vice-Commodore.
d) Raffle Committee
The Raffle committee shall consist of a number of members to be fixed by the board of Directors, one of whom shall be the rear commodore. the Committee shall provide and take charge of all raffles held by the Club. The Chairman of the Committee shall be the Rear Commodore.
e) Properties, Quarters, and Refreshment Committee
The Properties, Quarters and Refreshment Committee shall take charge of and safely keep all of the property of the Club and make it available for use as occasion therefore arises; they shall provide quarters suitable for the various occasions which may arise; and shall provide suitable refreshments as are required. This Committee shall consist of a chairman and a number of members to be fixed by the Board of Directors.
f) Public Relations and Publicity Committee
The Public Relations and Publicity Committee shall have charge of public relations of all kinds affecting the Club, shall provide appropriate releases of news, events, races and other matters pertaining to the club, to newspapers and magazines. It shall consist of a chairman and a number of members to be fixed by the Board of Directors
g) Fellowship Committee
The Fellowship Committee, consisting of three (3) members, shall have charge of welcoming members to the various events and functions and foster social relations among the members and guests.
h) Fishing committee
The Fishing committee shall consist of a chairman and a number of members to be fixed by the board of Directors, and shall have charge of all fishing contests and provide suitable rules for the conduct of such events and shall report the result of such contests to the board of Directors. They shall notify the winners of such contests.
i) Finance Committee
The Finance committee, consisting of a Chairman and such members as deemed necessary from time to time by the board of Directors, shall supervise the finances of the club, prepare budgets whenever there is a need of funds to be expended, and generally advise in all matters of finance. They shall annually audit the books of the Treasurer and other Officers and Committees handling funds and report the result of their audit to the board of Directors and the club in writing.
j) Photographic committee
The Photographic committee shall see that photographs are taken at appropriate tinmes for the records of the Club and for publicity.
k) Trophy Committee
The Trophy Committee, consisting of a Chairman and a number of members to be fixed by the board of Directors, shall purchase the trophies as they may from time to time be directed to do by the Club. They shall render a report of the club’s trophies each year and shall keep an accurate list of the holders of perpetual trophies, secure their return before the succeeding race, and shall keep these trophies insured as directed by the Club.
ARTICLE 9: MEMBERS
The members of the club shall be classified as Active, Associate, Non-Resident and Honorary Members.
a) Active Members shall be those who pay full dues to the club as provided in the By-Laws, or as otherwise provided by the board of directors, and shall be persons of good moral character.
b) Associate Members shall be those under 21 years of age and sons of club members, with dues paid as provided by the By-Laws, and shall be persons of good moral character. They shall not be entitled to vote on any question pertaining to the affairs and business of the Club, or to hold any office therein, but shall be entitled to participate in the social activities of the club. They shall be permitted to fly the burgee of this club and wear the pin of this Club and to enter in events sponsored by recognized yacht Clubs under the flag of this club.
c) Non-Resident Members are those persons who live outside the perimeter of Santa Barbara-Bakersfield-San Diego area. The initiation fee and dues on Non-Resident Members shall be as provided in the by-Laws of this Club. Non-Resident Members shall be entitled to all the privileges of full membership.
d) Honorary Members shall be those persons of distinction or influence as shall be elected to honorary membership by the Board of Directors for the remaining period of the current year. They shall pay no dues or memberships fees. Active Members in good standing may propose candidates for honorary membership to the Board of Dirctors. Upon the death of a member, his surviving widow shall automatically become an Honorary Member without paying dues, so long as she remains his widow or until she ceases to be interested in the affairs of the Club.
ARTICLE 10: DELEGATES AND LIAISON OFFICERS
a) There shall each year be appointed two delegates and two or more alternates to the southern California Yachting Association, whose duty it shall be to attend the meetings of the Association, assist in its works and represent the interests of the club.
b) There shall each year be appointed two delegates and two or more alternates to the southern California Cruiser Association, whose duty it shall be to attend the meetings of the Association, assist in its work, and represent the interests of the club.
c) There shall be each year appointed Liaison Officers, one of whom shall act as chairman, whose duty it shall be to coordinate activities with all other organizations.
ARTICLE 11: QUORUM
At least 25% of the members in good standing; or two Flag Officers and 15 members in good standing, constitutes a quorum at all meetings of the club, and, in the absence of flag officers, a Chairman may be selected by the members present for that purpose.
ARTICLE 12: BURGEE
The Club Burgee shall be flown on yachts belonging to members of the club.
ARTICLE 13: DISCIPLINE
A member may be expelled by the Board of directors for conduct injurious to the welfare of the club. Upon complaint of one or more members, the board shall investigate the circumstances and may expel or suspend the member, provided that such member shall be notified of the charge and be given a reasonable opportunity to appear before the Board to defend himself.
ARTICLE 14: PRIVILEGES
If and when this Club owns or maintains a Cluhouse, moorings, anchorages, or other conveniences or aids to yachtsman, paid-up members in this club shall have preference over all others.
ARTICLE 15: AMENDMENTS
The Constitution may be amended by a two-thirds vote of the members present at any regular or specially called meeting, provided the proposed amendment be stated in full in the notice of the meeting at which it will be voted on.
ARTICLE 16: INTERPRETATIONS
This constitution shall be liberally construed, and shall be deemed to include all reasonable inferences and intendments.

At the first meeting of the Board of Directors after the Annual Meeting of the Club, the Commodore, with the approval of the board, shall appoint the committees of the Club to serve during the pleasure of the board. the Committees provided for herein shall be under the supervision and control of the board of Directors, and shall be accountable to, and shall act in cooperation with the Commodore and Board.
a) Membership Committee
There shall be a Membership Committee of three (3) Junior Staff commodores of the club whose duty it shall be to investigate applicants for membership. Applicants shall be persons of good moral character and must be approved by the Membership Committee. The Chairman shall make a report on each applicant accepted for membership in the club at the succeeding monthly meeting. (Note: See Article 1 of the By-Laws for procedure)
b) Race Committee
1) There shall be a Race committee consisting of a Chairman and number of members to be fixed by the Board of Directors. There shall also be a Sailboat Division and a Cruiser division, who shall be subordinate to the Race committee and under its supervision. One of the members of the Race committee shall be designated as its Chairman. There shall be a Chairman of the sailboat Division and a Chairman of the Cruiser Division. The Race Committee shall have the direction and control of all races sailed or run under the auspices of this Club, and shall make an official report of the same to the Secretary in writing immediately thereafter. They shall notify the owners of the winning yachts.
2) The Sailboat Division shall receive entries to all sailboat races, and act as judges thereof. they shall provice the stake-boats, issue instructions for the races, appoint members to assist the Division, and direct all matters connected with sailboat racing. They shall keep a record of all proceedings of the Division, and of all races held by them, with full details thereof, and shall make an official report of the same to the Race Committee in writing immediately after each race.
3) The Cruiser Division shall receive entries for all power cruiser races, and act as judges thereof. They shall provide the stake-boats, issue instructions for the races, appoint members to assist the Division, and direct all matters connected with power cruiser racing. They shall keep a record of all proceedings of the Division, and of all races held by them, with full details thereof, and shall make an official report of the same to the race committee in writing immediately after each race.
c) Program Committee
The Program Committee shall consist of five (5) members, one of whom shall be the Vice-Commodore. The Committee shall provide and take charge of all entertainments given by the Club, and shall provide suitable programs therefore. The Chairman of the committee shall be the Vice-Commodore.
d) Raffle Committee
The Raffle committee shall consist of a number of members to be fixed by the board of Directors, one of whom shall be the rear commodore. the Committee shall provide and take charge of all raffles held by the Club. The Chairman of the Committee shall be the Rear Commodore.
e) Properties, Quarters, and Refreshment Committee
The Properties, Quarters and Refreshment Committee shall take charge of and safely keep all of the property of the Club and make it available for use as occasion therefore arises; they shall provide quarters suitable for the various occasions which may arise; and shall provide suitable refreshments as are required. This Committee shall consist of a chairman and a number of members to be fixed by the Board of Directors.
f) Public Relations and Publicity Committee
The Public Relations and Publicity Committee shall have charge of public relations of all kinds affecting the Club, shall provide appropriate releases of news, events, races and other matters pertaining to the club, to newspapers and magazines. It shall consist of a chairman and a number of members to be fixed by the Board of Directors
g) Fellowship Committee
The Fellowship Committee, consisting of three (3) members, shall have charge of welcoming members to the various events and functions and foster social relations among the members and guests.
h) Fishing committee
The Fishing committee shall consist of a chairman and a number of members to be fixed by the board of Directors, and shall have charge of all fishing contests and provide suitable rules for the conduct of such events and shall report the result of such contests to the board of Directors. They shall notify the winners of such contests.
i) Finance Committee
The Finance committee, consisting of a Chairman and such members as deemed necessary from time to time by the board of Directors, shall supervise the finances of the club, prepare budgets whenever there is a need of funds to be expended, and generally advise in all matters of finance. They shall annually audit the books of the Treasurer and other Officers and Committees handling funds and report the result of their audit to the board of Directors and the club in writing.
j) Photographic committee
The Photographic committee shall see that photographs are taken at appropriate tinmes for the records of the Club and for publicity.
k) Trophy Committee
The Trophy Committee, consisting of a Chairman and a number of members to be fixed by the board of Directors, shall purchase the trophies as they may from time to time be directed to do by the Club. They shall render a report of the club’s trophies each year and shall keep an accurate list of the holders of perpetual trophies, secure their return before the succeeding race, and shall keep these trophies insured as directed by the Club.
ARTICLE 9: MEMBERS
The members of the club shall be classified as Active, Associate, Non-Resident and Honorary Members.
a) Active Members shall be those who pay full dues to the club as provided in the By-Laws, or as otherwise provided by the board of directors, and shall be persons of good moral character.
b) Associate Members shall be those under 21 years of age and sons of club members, with dues paid as provided by the By-Laws, and shall be persons of good moral character. They shall not be entitled to vote on any question pertaining to the affairs and business of the Club, or to hold any office therein, but shall be entitled to participate in the social activities of the club. They shall be permitted to fly the burgee of this club and wear the pin of this Club and to enter in events sponsored by recognized yacht Clubs under the flag of this club.
c) Non-Resident Members are those persons who live outside the perimeter of Santa Barbara-Bakersfield-San Diego area. The initiation fee and dues on Non-Resident Members shall be as provided in the by-Laws of this Club. Non-Resident Members shall be entitled to all the privileges of full membership.
d) Honorary Members shall be those persons of distinction or influence as shall be elected to honorary membership by the Board of Directors for the remaining period of the current year. They shall pay no dues or memberships fees. Active Members in good standing may propose candidates for honorary membership to the Board of Dirctors. Upon the death of a member, his surviving widow shall automatically become an Honorary Member without paying dues, so long as she remains his widow or until she ceases to be interested in the affairs of the Club.
ARTICLE 10: DELEGATES AND LIAISON OFFICERS
a) There shall each year be appointed two delegates and two or more alternates to the southern California Yachting Association, whose duty it shall be to attend the meetings of the Association, assist in its works and represent the interests of the club.
b) There shall each year be appointed two delegates and two or more alternates to the southern California Cruiser Association, whose duty it shall be to attend the meetings of the Association, assist in its work, and represent the interests of the club.
c) There shall be each year appointed Liaison Officers, one of whom shall act as chairman, whose duty it shall be to coordinate activities with all other organizations.
ARTICLE 11: QUORUM
At least 25% of the members in good standing; or two Flag Officers and 15 members in good standing, constitutes a quorum at all meetings of the club, and, in the absence of flag officers, a Chairman may be selected by the members present for that purpose.
ARTICLE 12: BURGEE
The Club Burgee shall be flown on yachts belonging to members of the club.
ARTICLE 13: DISCIPLINE
A member may be expelled by the Board of directors for conduct injurious to the welfare of the club. Upon complaint of one or more members, the board shall investigate the circumstances and may expel or suspend the member, provided that such member shall be notified of the charge and be given a reasonable opportunity to appear before the Board to defend himself.
ARTICLE 14: PRIVILEGES
If and when this Club owns or maintains a Cluhouse, moorings, anchorages, or other conveniences or aids to yachtsman, paid-up members in this club shall have preference over all others.
ARTICLE 15: AMENDMENTS
The Constitution may be amended by a two-thirds vote of the members present at any regular or specially called meeting, provided the proposed amendment be stated in full in the notice of the meeting at which it will be voted on.
ARTICLE 16: INTERPRETATIONS
This constitution shall be liberally construed, and shall be deemed to include all reasonable inferences and intendments.
